United Bank for Africa (UBA) Plc has announced that Group Chairman Tony O. Elumelu will retire from the board on August 21, 2026, after completing the maximum 12-year tenure permitted for non-executive directors under Central Bank of Nigeria (CBN) corporate governance guidelines. The board has named current Non-Executive Director Emmanuel Nnorom as the incoming chairman, effective the same date.

The decision, approved by the board on July 6, 2026, ensures a smooth leadership handover at the pan-African financial institution, which operates in 20 African countries and maintains a presence in key global markets including the UK, US, and France.

Elumelu, a prominent advocate of Africapitalism and one of the continentโ€™s most influential business leaders, has chaired UBA since 2014. Under his stewardship, the bank significantly expanded its African footprint, strengthened its digital capabilities, and navigated macroeconomic challenges while delivering consistent returns to shareholders. He will remain closely associated with the UBA family, the bank said.

Emmanuel Nnorom, who joined the board as a Non-Executive Director in 2024, brings deep institutional knowledge and extensive experience in finance and governance. His appointment reflects UBAโ€™s emphasis on continuity and internal succession planning.

In a statement, UBA expressed gratitude to Elumelu for his โ€œtransformational leadershipโ€ and commitment to the bankโ€™s vision of becoming Africaโ€™s leading financial services group. The bank highlighted that the transition aligns with its robust governance framework and long-term strategy.

The announcement comes as UBA continues to post robust results, driven by strong performance across its African operations, digital banking growth, and trade finance. The leadership change occurs against a backdrop of evolving regulatory expectations around board tenure and diversity in Nigerian banking.

Elumeluโ€™s departure from the UBA chairmanship does not signal a full exit from active business leadership. He retains significant roles across the Heirs Holdings portfolio, including as chairman of Transcorp Group, and was recently appointed chairman of Seplat Energy effective January 2027.

For UBA, the transition is positioned as a natural evolution rather than a rupture. Nnoromโ€™s elevation is expected to maintain strategic direction while potentially bringing fresh perspectives to board oversight as the bank pursues further digital transformation, regional integration, and sustainable growth across its markets.

Customers, employees, and investors are unlikely to see immediate operational changes. UBA has emphasised continuity, with the existing executive management team led by Group Managing Director/CEO Oliver Alawuba remaining in place to execute strategy.

The move reinforces a broader trend in African corporate governance: structured succession planning that balances founder influence with institutional resilience. Elumeluโ€™s 12-year tenure has been one of the longest and most impactful in recent Nigerian banking history, transforming UBA from a primarily Nigerian institution into a truly pan-African player.

As Emmanuel Nnorom prepares to assume the role, attention will turn to how UBA navigates the next phase balancing growth ambitions with regulatory compliance, technological investment, and the evolving competitive landscape shaped by fintechs and regional economic integration.

Elumeluโ€™s legacy at UBA is one of bold expansion and African-focused vision. The smooth handover to Nnorom will test and ultimately affirm the strength of the institution he helped build.
